CVGGA Terms of Use Agreement

Welcome to the Cuyahoga Valley Greenhouse Growers Association (CVGGA) Web Site.  By using our Site, you are agreeing to comply with and be bound by the following terms of use.

Please review the following terms carefully. If you do not agree to these terms, you should not use this Site.  Please read these Web Site terms of use carefully before using this Web Site (the “Site”).  These Site terms of use (the “terms of use”) govern your access to and use of the Site. The Site is available for your use only on the condition that you agree to the terms of use set forth below. If you do not agree to all of the terms of use, do not access or use the Site.

The term “CVGGA” or “us” or “we” or “our” refers to Cuyahoga Valley Greenhouse Growers Association, the owner of the Site.

The term “you” refers to the user or viewer of our Site. By accessing or using the Site, you and the entity you are authorized to represent (”you” or “your”) signify your agreement to be bound by the terms of use.

Acceptance of Agreement

You agree to the terms and conditions outlined in this Terms of Use Agreement (”Agreement”) with respect to our Site. This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content, products or services provided by or through the Site, and the subject matter of this Agreement. This Agreement may be amended at any time by us without specific notice to you. The latest Agreement will be posted on the Site, and you should review this Agreement prior to using the Site.

Copyright

The content, organization, graphics, design, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by you of any such matters or any part of the Site is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Site. The posting of information or materials on the Site does not constitute a waiver of any right in such information and materials. Some of the content on the site is the copyrighted work of third parties.

Service Marks

CVGGA, “www.CVGGA.com” and others are our service marks or registered service marks or trademarks. Other product and company names mentioned on the Site may be trademarks of their respective owners.

Limited License; Permitted Uses

You are granted a non-exclusive, non-transferable, revocable license to (a) access and use the Site strictly in accordance with this Agreement; (b) use the Site solely for internal, personal, non-commercial purposes; and (c) print out discrete information from the Site solely for internal, personal, non-commercial purposes and provided that you maintain all copyright and other policies contained therein. No print out or electronic version of any part of the Site or its contents may be used by you in any litigation or arbitration matter whatsoever under any circumstances.

Restrictions and Prohibitions on Use

Your license for access and use of the Site and any information, materials or documents (collectively defined as “Content and Materials”) therein are subject to the following restrictions and prohibitions on use: You may not (a) copy, print, republish, display, distribute, transmit, sell, rent, lease, loan or otherwise make available in any form or by any means all or any portion of the Site or any Content and Materials retrieved therefrom; (b) use the Site or any materials obtained from the Site to develop any information, storage and retrieval system, database, information base, or similar resource (in any media now existing or hereafter developed), that is offered for commercial distribution of any kind, including through sale, license, lease, rental, subscription, or any other commercial distribution mechanism.

Limitation of Liability

To the extent permitted by applicable law and to the extent that CVGGA is otherwise found responsible for any damages, CVGGA is responsible for actual damages only.  To the extent permitted by law, in no event shall CVGGA, its affiliates, its licensors, its suppliers or any third parties mentioned at the Site be liable for any incidental, indirect, exemplary, punitive and consequential damages, lost profits, or damages resulting from lost data or business interruption resulting from the use of or inability to use the Site, the CVGGA systems, information, services or the content whether based on warranty, contract, tort, delict, or any other legal theory, and whether or not CVGGA is advised of the possibility of such damages.  To the extent permitted by law, the remedies stated for you in these terms of use are exclusive and are limited to those expressly provided for in these terms of use.

Compliance with Law

You agree to use the Site in strict compliance with all applicable laws, rulings and regulations and in a fashion that does not, in the sole judgment of CVGGA, negatively reflect on the goodwill or reputation of CVGGA and shall take no actions which would cause CVGGA to be in violation of any laws, rulings or regulations applicable to CVGGA.

Termination

You agree that CVGGA, in its sole discretion, may terminate or suspend your use of the Site, the CVGGA Systems, Information, Services and Content at any time and for any or no reason in its sole discretion, even if access and use continues to be allowed to others.  Upon such suspension or termination, you must immediately (a) discontinue use of the Site, and (b) destroy any copies you have made of any portion of the Content.  Accessing the Site, the CVGGA Systems, Information or Services after such termination, suspension or discontinuation shall constitute an act of trespass.  Further, you agree that CVGGA shall not be liable to you or any third party for any termination or suspension of your access to the Site, the CVGGA Systems, Information and/or Services.

Complete Agreement

Except as expressly provided in a separate license, service or other written agreement between you and CVGGA, these terms of use constitute the entire agreement between you and CVGGA with respect to the use of the Site, the CVGGA systems, and any software or service, information and content contained therein, and supersede all discussions, communications, conversations and agreements concerning the subject matter hereof.
